By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

2. Description of Service

AffiliateSpy is a competitive intelligence platform that helps businesses discover and analyze affiliate marketing opportunities. Our Service provides:

• Competitor backlink analysis and affiliate detection
• Affiliate partner discovery and grading
• Domain authority and traffic estimation metrics
• Outreach opportunity identification
• Contact information discovery for potential partners

The Service is provided on a subscription basis, and features may vary depending on your subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

5. Subscription and Billing

Billing: By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis according to your selected billing cycle (monthly or annually).

Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

Price Changes: We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price changes take effect.

Refunds: Subscription fees are generally non-refundable. However, if you cancel within the first 14 days of your initial subscription and have not substantially used the Service, you may request a refund by contacting us at contact@affiliatespy.io.

6. Intellectual Property

The Service, including all content, features, and functionality, is owned by Wayfinity Ltd and is protected by international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

You retain ownership of any data you submit to the Service. By using the Service, you grant us a license to use, process, and store your data solely to provide and improve the Service.

7. Third-Party Services

The Service integrates with third-party services to provide functionality. These include:

• Supabase: For authentication, database, and infrastructure services
• DataForSEO: For backlink data, domain metrics, and SEO analytics
• Google: For OAuth authentication (sign-in with Google)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

8. Data Accuracy and Limitations

While we strive to provide accurate and up-to-date information, the data provided through the Service is obtained from third-party sources and may not always be complete or accurate.

The Service provides estimates and analytics based on available data. These should be used for informational purposes only and should not be the sole basis for business decisions.

We do not guarantee the accuracy, completeness, or reliability of any data or analytics provided through the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or servers are free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYFINITY LTD AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid to us in the twelve (12) months prior to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wayfinity Ltd and its directors, employees, partners, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

12. Termination

You may terminate your account at any time by contacting us or using the account settings in the Service. Upon termination, your right to use the Service will immediately cease.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Cyprus.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wayfinity Ltd regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
